Welcome to HelloPRISM Media, LLC (“HelloPRISM,” “we,” “us,” or “our”). By accessing or using this website and our services, you agree to these Terms & Conditions. Please read them carefully.

1. Use of Our Website

You agree to use our site for lawful purposes only. You must not:

  • Interfere with site functionality

  • Attempt to bypass security measures

  • Use our content for illegal or unauthorized purposes

  • Copy or distribute our materials without written permission

All content on this site—including text, images, graphics, design assets, and branding—is owned by HelloPRISM Media, LLC and protected by copyright laws. Unauthorized use is prohibited.

2. Service Agreements

Engaging in any paid work with HelloPRISM requires a signed Master Services Agreement (MSA) and/or Statement of Work (SOW) outlining:

  • Scope of work

  • Deliverables

  • Timeline

  • Fees and payment terms; Processing fee included (pass-through from payment provider). Check/ACH available to avoid fees.

  • Rights, ownership, and usage guidelines

Work begins once a contract is signed and any required deposit is received.

3. Payments & Refunds

  • Payment terms are defined in each project’s MSA/SOW.

  • Deposits are non-refundable.

  • Final deliverables are released once payment is made in full.

  • Refunds (if applicable) are considered only for unused services and at the sole discretion of HelloPRISM.

For ongoing retainers, unused hours do not roll over unless otherwise specified in writing.

4. Intellectual Property

Client Materials

Clients retain ownership of all materials they provide.

Work Created by HelloPRISM

Unless otherwise stated in writing:

  • HelloPRISM retains ownership of working files (e.g., PSD, AI, INDD, raw video files).

  • Clients receive the final exported files (e.g., JPEG, PNG, MP4, PDF) and usage rights specified in their contract.

  • Working files may be purchased separately upon request.

HelloPRISM Branding & Content

Our logos, designs, visuals, templates, and written content may not be reused, reproduced, or edited without permission.

5. Contractor & Collective Partner Relationships

HelloPRISM partnered creatives are independent contractors, not employees.
Contractors must operate in alignment with:

  • Signed partner agreements

  • Confidentiality requirements

  • Ethical and professional best practices

Contractors performing work for a HelloPRISM-client project agree that:

  • HelloPRISM invoices the client.

  • Contractors are paid upon client remittance.

  • Revenue splits follow the contract terms (e.g., 70/30 for work performed; referral bonuses as applicable).

6. Confidentiality

We take confidentiality seriously.
Any client information, project details, or proprietary assets shared with us will be kept confidential and used solely for the purpose of the project.

Clients agree to maintain confidentiality regarding:

  • Pricing

  • Internal processes

  • Contractor partnerships

  • Project concepts or internal templates

7. Limitation of Liability

HelloPRISM is not liable for:

  • Delays caused by client feedback, incomplete information, or third-party vendors

  • Losses resulting from website outages, hosting issues, or platform errors

  • Any damages exceeding the total fees paid for services rendered

We provide recommendations and creative guidance, but final decisions and implementation remain the client’s responsibility.

8. Website Analytics & Cookies

Our site may use:

  • Cookies

  • Pixels

  • Analytics tools (e.g., Google Analytics)

These help us understand website activity and improve your experience. You can manage cookie settings in your browser.

9. External Links

Our website may link to third-party websites or platforms. We are not responsible for the content, policies, or practices of these external sites.

10. Termination of Service

We reserve the right to:

  • Refuse service

  • Cancel or postpone projects

  • Terminate contracts for breach of terms

Clients may also terminate services following the terms outlined in their MSA/SOW.

11. Changes to These Terms

We may update these Terms & Conditions as needed. Updates will be posted on this page with a revised effective date.
